1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the software platform, dashboards, APIs, and related services (collectively, the “Services”) provided by OptechIQ (“OptechIQ”, “Company”, “we”, “us”, or “our”), accessible at https://www.optechiq.com (the “Site”).

By registering for or using the Services, you agree to be bound by these Terms.

2. Relationship with Stripe

2.1 Stripe as Payment Processor
Your use of any payment-related Services is enabled through Stripe, Inc. and its affiliates (“Stripe”). Stripe is the payment processor and merchant-of-record for all payment transactions.

2.2 Stripe Terms Incorporated
If you use any payment functionality, you also agree to Stripe’s applicable terms, including, without limitation:

  • Stripe Services Agreement

  • Stripe Connected Account Agreement

  • Stripe Acceptable Use Policy

  • Stripe Privacy Policy

In the event of a conflict between these Terms and Stripe’s terms, Stripe’s terms govern all payment processing activities.

3. Eligibility and Account Registration

You represent and warrant that:

  • You are legally able to enter into binding agreements.

  • You will provide accurate, complete, and current information.

  • You will comply with all applicable laws, including anti-money laundering (“AML”), know-your-customer (“KYC”), sanctions, and consumer protection laws.

We may suspend or terminate access if required by Stripe, applicable law, or risk policies.

4. SaaS Platform Services

The Services may include, but are not limited to:

  • Hosted SaaS analytics dashboards

  • Subscription and usage monitoring

  • APIs and reporting tools

  • Integration support

OptechIQ reserves the right to update, modify, or discontinue features at any time.

5. Pricing and Fees

5.1 Subscription Fees
Access to the Services requires payment of subscription fees. Subscription fees are billed monthly or annually in advance and are non-refundable except as required by law or as otherwise provided in a separate written agreement.

5.2 Stripe Fees
Stripe charges separate fees for payment processing and related services. Stripe fees are in addition to OptechIQ’s subscription fees and are determined solely by Stripe.

5.3 Fee Authorization
You authorize OptechIQ and Stripe to deduct applicable fees from invoices, transaction proceeds, balances, or payouts as permitted under Stripe’s agreements.

6. Payment Processing and Payouts

All payment transactions, fund custody, settlement, and payouts are handled by Stripe. OptechIQ does not hold or transmit funds directly. Payout timing and availability are governed by Stripe and may be affected by compliance reviews, disputes, or chargebacks.

7. Chargebacks, Refunds, and Disputes

You are responsible for managing chargebacks, reversals, refunds, and disputes. Stripe may debit your balance for disputed or reversed transactions in accordance with Stripe’s terms. OptechIQ does not guarantee dispute outcomes.

8. Compliance and Prohibited Uses

You agree not to use the Services for:

  • Illegal, fraudulent, or deceptive activities

  • Circumventing fees, controls, or compliance measures

  • Any activities prohibited under Stripe’s Acceptable Use Policy

OptechIQ may monitor activity and share information with Stripe as required.

9. Suspension and Termination

We may suspend or terminate your access immediately if:

  • Required by Stripe or law

  • There is unacceptable risk or policy violations

Outstanding fees and obligations survive termination.

10. Disclaimers

The Services are provided “as is” and “as available”. OptechIQ does not guarantee uninterrupted service or specific outcomes for payment authorizations or analytics results.

11. Limitation of Liability

To the maximum extent permitted by law, OptechIQ is not liable for indirect, incidental, or consequential damages. Liability is capped at the fees paid to OptechIQ in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold OptechIQ harmless from claims arising out of your use of the Services, violation of these Terms, Stripe’s terms, or applicable law.

13. Arbitration

Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, unless prohibited by law. Arbitration shall be administered by a recognized arbitration body under its rules.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. You consent to exclusive jurisdiction and venue in relevant courts in Delaware.

15. Changes to These Terms

We may update these Terms to reflect changes in the Services, Stripe requirements, or applicable law. Material changes will be posted on https://www.optechiq.com. Continued use of the Services constitutes acceptance of the revised Terms.
